1. Purpose & Scope
This Dropshipper & Reseller Agreement (“Agreement”) governs the commercial relationship between LOOKSY Pty Ltd (“LOOKSY”, “we”, “our”) and any approved Dropshipper or Reseller (“you”, “your”) who lists, promotes, or sells LOOKSY-supplied products through their own sales channels.
By applying for, being accepted into, or continuing participation in LOOKSY’s reseller network, you acknowledge that you have read, understood, and agree to comply with these terms.
2. Authorization
LOOKSY grants approved Drop shippers a non-exclusive, revocable, and non-transferable right to market and sell LOOKSY-supplied products under the conditions of this Agreement.
No agency, partnership, franchise, or employment relationship is created by this Agreement.
3. Product Sourcing & Pricing
3.1 All products offered through the LOOKSY platform originate from verified manufacturing partners in Guangzhou and Shenzhen, China.
3.2 Drop shippers may only advertise and sell items currently listed and approved in the LOOKSY catalogue or data feed.
3.3 LOOKSY reserves the right to:
- Adjust wholesale or reseller pricing at any time with reasonable notice;
- Discontinue or replace items due to supplier changes or quality issues.
3.4 Drop shippers must not misrepresent product quality, brand, or origin.
All marketing must accurately reflect LOOKSY-provided descriptions and imagery.
4. Order Processing & Fulfilment
4.1 All orders must be transmitted electronically via the LOOKSY ordering portal, API, or other approved method.
4.2 Upon payment confirmation:
- LOOKSY will process and dispatch within 3–5 business days;
- Tracking details will be provided once shipped.
4.3 Estimated delivery timeframes:
- Australia (Metro): 7–15 business days
- Australia (Regional): 12–21 business days
- Other regions as published in the Shipping Policy.
4.4 LOOKSY manages packaging, logistics, and international freight. Drop shippers are responsible for accurate customer delivery details.
4.5 Title and risk in goods transfer to the end-customer at the point of dispatch from LOOKSY’s facility.
5. Payments & Commissions
5.1 Drop shippers purchase goods at wholesale rates as listed in the reseller portal.
5.2 Resale price to the end-customer is set by the Drop shipper, subject to compliance with recommended pricing guidelines and applicable consumer law.
5.3 Payment methods accepted: bank transfer, credit/debit card, or PayPal.
5.4 All invoices are in AUD and include GST where applicable.
5.5 LOOKSY may provide commission or incentive programs from time to time; such programs are governed by their separate terms and can be modified or discontinued without notice.
6. Refunds & Customer Service
6.1 LOOKSY handles manufacturing defects or incorrect items in accordance with the Returns & Refunds Policy.
6.2 Drop shippers are responsible for:
- First-level customer communication,
- Collecting sufficient information for claims, and
- Forwarding valid warranty or replacement requests to LOOKSY.
6.3 No credit will be issued for customer change-of-mind returns unless expressly authorized by LOOKSY.
7. Intellectual Property Rights
7.1 LOOKSY retains all rights, title, and interest in its trademarks, trade dress, photography, and written content.
7.2 Drop shippers are granted a limited license to use LOOKSY’s images, descriptions, and promotional content solely for the purpose of advertising LOOKSY products.
7.3 You must not:
- Alter or remove branding, watermarks, or copyright notices;
- Use LOOKSY imagery for unrelated or competing products;
- Register any domain, business name, or social-media handle that includes “LOOKSY” or confusingly similar terms.
7.4 Upon termination of this Agreement, all rights to use LOOKSY’s intellectual property cease immediately.
8. Marketing & Conduct
8.1 All advertising must be truthful, non-misleading, and comply with the Australian Consumer Law and any relevant advertising codes.
8.2 Prohibited conduct includes:
- False product claims or fake reviews;
- Using LOOKSY materials in adult, violent, or defamatory contexts;
- Engaging in spam, unethical marketing, or paid review manipulation.
8.3 LOOKSY may request modification or removal of any content that violates these standards.
9. Liability & Indemnification
9.1 Each party is responsible for its own acts and omissions.
9.2 LOOKSY shall not be liable for:
- Lost profits, loss of business, or consequential damages;
- Errors in advertising or misrepresentation by Drop shippers;
- Delays or losses caused by third-party couriers or customs authorities.
9.3 You agree to indemnify and hold harmless LOOKSY, its directors, employees, and suppliers from any claim, loss, or damage arising out of:
- Your breach of this Agreement;
- Your violation of any applicable law; or
- Misuse of LOOKSY’s intellectual property or data.
10. Confidentiality & Data Protection
10.1 All pricing, supply data, and operational information shared by LOOKSY are confidential.
You must not disclose such information to competitors or third parties.
10.2 Both parties shall comply with the Privacy Act 1988 (Cth) and LOOKSY’s Privacy Policy regarding customer data handling.
11. Termination & Suspension
11.1 Either party may terminate this Agreement with 30 days’ written notice.
11.2 LOOKSY may immediately suspend or terminate participation if you:
- Breach these terms or engage in unethical conduct;
- Fail to make timely payment for orders;
- Damage LOOKSY’s reputation or brand integrity.
11.3 Upon termination:
- All unpaid invoices become due immediately;
- Use of LOOKSY branding and assets must cease;
- Outstanding orders in production will be fulfilled unless otherwise agreed.
12. Force Majeure
Neither party shall be liable for delays or failure to perform due to circumstances beyond reasonable control (e.g. natural disasters, strikes, transport disruption, or government actions).
13. Dispute Resolution
Parties will first attempt to resolve disputes through good-faith negotiation.
If unresolved, disputes shall be submitted to mediation in Sydney, NSW, before any court proceedings.
14. Governing Law
This Agreement is governed by and construed in accordance with the laws of New South Wales, Australia.
The parties submit to the exclusive jurisdiction of its courts.
15. Entire Agreement
This Agreement, together with any written reseller guidelines or annexures, constitutes the entire understanding between LOOKSY and the Drop shipper, superseding all prior discussions or representations.
16. Acceptance & Sign-Off
By submitting an application or continuing to sell LOOKSY products, you acknowledge acceptance of these terms.
