1. Purpose

This Membership & Subscription Agreement (“Agreement”) sets out the terms and conditions under which LOOKSY Pty Ltd (“LOOKSY”, “we”, “us”, “our”) provides paid membership services to individuals (“Members”, “you”, “your”) who subscribe to LOOKSY’s exclusive fashion club tiers — Shoppers Club and Premium Platinum.

Membership grants access to high-quality fashion and designer wear at wholesale prices, exclusive discounts, and members-only product releases sourced from LOOKSY’s partner factories in Guangzhou and Shenzhen.

2. Membership Tiers

LOOKSY offers two core membership options:

3. Contract Duration

3.1 Each membership is a 12-month fixed-term contract commencing on the payment date of your first billing cycle.

3.2 During this period, members are committed to completing the full contract term unless otherwise stated in Section 10 (Early Termination).

3.3 Memberships automatically renew for a further 12 months unless cancelled in accordance with Section 9 (Renewal & Cancellation Policy).

4. Payment Schedule & Billing

4.1 Members may choose weekly, fortnightly, or monthly billing at signup.

4.2 Payments are automatically processed via Stripe or PayPal using the stored payment method.

4.3 All prices are in Australian Dollars (AUD) and include GST.

4.4 Members must ensure their payment details remain valid and up-to-date. Failed payments may lead to account suspension (see Section 11).

4.5 Members will receive digital invoices or statements accessible through their LOOKSY Member Dashboard.

5. Transaction Security

All payments are processed over SSL-encrypted connections through PCI DSS-compliant providers (Stripe / PayPal).
LOOKSY does not store full card data and adheres to strict fraud-prevention and privacy standards (see Privacy Policy).

6. Member Benefits

Membership benefits vary by tier and may include:

  • Access to wholesale-price catalogues;
  • Priority access to limited runs and new arrivals;
  • Exclusive discount codes;
  • Members-only events, promotions, and collaborations;
  • Dedicated support through the Member Help Portal; and
  • Surprise loyalty rewards or seasonal gift vouchers.

Benefits are non-transferable and may be updated periodically to reflect supply availability or promotional changes.

7. Eligibility

You must:

  • Be at least 18 years old and reside in Australia;
  • Provide accurate registration details;
  • Use the membership for personal or household purchases only (resale requires a Reseller Agreement); and
  • Agree to comply with this Agreement and LOOKSY’s related policies (Privacy, Refunds, Shipping, etc.).

8. Membership Fees & Changes

8.1 Fees are clearly displayed at checkout and confirmed before payment.

8.2 LOOKSY reserves the right to adjust membership pricing with at least 30 days’ notice before renewal.

8.3 Fee changes will not affect existing 12-month contracts until renewal.

9. Renewal & Cancellation Policy

9.1 Memberships renew automatically at the end of each 12-month term unless cancelled in writing at least 14 days prior to renewal.

9.2 To cancel:

  • Email info@looksy.com.au with subject line Membership Cancellation Request – [Your Name]; or
  • Use the Cancel Membership function within your Member Dashboard.

9.3 You will receive confirmation of cancellation and your membership will remain active until the current term concludes.

9.4 Mid-term cancellations (before the 12 months end) are considered early terminations and may attract fees (see Section 10).

10. Early Termination & Exit Fees

10.1 Early termination is allowed under the following conditions:

  • Serious service failure by LOOKSY (as defined under ACL); or
  • Mutual written agreement with LOOKSY management.

10.2 Members who terminate early without lawful cause may be charged:

  • An Early Exit Fee equal to 25 % of remaining contract value, or
  • The balance of unpaid membership weeks, whichever is lower.

10.3 LOOKSY may waive exit fees in special hardship cases (e.g., long-term illness or relocation overseas) upon written proof.

11. Failed or Missed Payments

11.1 If a scheduled payment fails, LOOKSY will:

  • Retry payment up to three times within 7 days;
  • Notify the member by email or SMS; and
  • Temporarily suspend member privileges after three consecutive failures.

11.2 If arrears exceed 14 days, LOOKSY may:

  • Apply a $15 late-payment administrative fee;
  • Refer the debt to collection; or
  • Terminate the membership in accordance with Section 10.

12. Refunds & Credit

12.1 Membership fees are non-refundable, except where required by Australian Consumer Law or where LOOKSY fails to provide agreed benefits.

12.2 If a refund is approved, it will be processed via the original payment method within 10 business days.

12.3 Members upgrading from Shoppers Club → Premium Platinum mid-term will pay only the difference in weekly rate, pro-rated for the remaining months.

12.4 Downgrades take effect from the next renewal cycle.

13. “Christmas Pre-Launch Promo” – Limited-Term Offer

13.1 The Christmas Pre-Launch Promo provides access to LOOKSY membership benefits on a 3-month lock-in contract, available between November and January 2025.

13.2 Members may upgrade from the promo tier to an annual Shoppers Club or Premium Platinum plan at any time during the promo period with no penalty.

13.3 Promo fees are billed weekly or monthly as selected and are non-refundable once activated.

13.4 Early termination before 3 months forfeits remaining benefits and paid fees.

14. Upgrades & Downgrades

  • Upgrades take effect immediately once payment for the higher tier is received.
  • Downgrades are processed at the next billing cycle or renewal date.
  • Members cannot downgrade below Shoppers Club while under a 12-month contract.

15. Member Conduct

Members agree not to:

  • Misuse discounts or share exclusive offers publicly;
  • Engage in abusive behaviour toward staff or other members;
  • Re-sell products for profit without a Reseller Agreement;
  • Use the LOOKSY platform for illegal or unethical purposes.

Violation may result in membership suspension or termination without refund.

16. Privacy & Data Handling

Member data is collected and processed in accordance with the LOOKSY Privacy Policy and Australian Privacy Principles (APPs).
Payment details are encrypted and stored only by approved gateways.

17. Suspension or Termination by LOOKSY

LOOKSY reserves the right to suspend or cancel membership if:

  • Payments remain overdue;
  • Fraud, abuse, or policy violations occur; or
  • LOOKSY discontinues the membership program (with 30-day notice).

In such cases, refunds will be provided only for prepaid, unused portions where legally required.

18. Dispute Resolution

Disputes should first be raised with LOOKSY’s Customer Support Team.
If unresolved within 10 business days, disputes will be escalated to management and may be referred to mediation under NSW law.

19. Limitation of Liability

To the fullest extent permitted by law:

  • LOOKSY shall not be liable for indirect or consequential damages arising from membership use; and
  • Total liability in any claim is limited to the value of the member’s last 12 months of paid fees.

20. Governing Law

This Agreement is governed by the laws of New South Wales, Australia.
Members agree to the exclusive jurisdiction of its courts and tribunals.

21. Amendments

LOOKSY may update this Agreement periodically.
Members will be notified of material changes at least 14 days before they take effect.
Continued use of the membership constitutes acceptance of updated terms.

22. Acceptance of Terms

By subscribing to any LOOKSY membership plan or promotional offer, you confirm that you:

  • Have read and understood this Agreement;
  • Authorise LOOKSY to process recurring payments in accordance with your chosen plan; and
  • Agree to comply with all applicable LOOKSY policies.
